1. Scope

These Terms & Conditions apply to all contracts between Visionary Proposals S.R. e.U., owner Stefanie Redik, Graz, Austria (hereinafter referred to as the "Contractor") and its clients.

Any deviating or additional terms of the client shall not apply unless expressly agreed in writing.

2. Services

The Contractor provides knowledge-based, advisory, conceptual and research-related services.

No specific outcome or success (including but not limited to funding approval, project authorisation, implementation or disbursement of funds) is owed unless expressly agreed in writing.

3. Conclusion of Contract

A contract is concluded upon written acceptance of an offer, execution of a project or service agreement, or commissioning via email.

4. Fees and Payment Terms

• All fees are stated net.
• Invoices are payable within 30 days from the invoice date without deduction.
• In the event of late payment, the Contractor is entitled to charge statutory interest and reminder fees.
• The Contractor may suspend or withhold services until full payment has been received.

5. Liability

• The Contractor shall be liable only in cases of wilful misconduct and gross negligence.
• Liability for slight negligence is excluded to the extent permitted by law.
• No liability is assumed for indirect damages, consequential damages, loss of profit or financial loss.
• Liability is limited to the amount of the respective contract value.
• The Contractor shall not be liable for decisions or actions taken by the client based on the provided services.

6. Success Fee

Where agreed, the entitlement to a success-based fee ("Success Fee") arises upon official confirmation of funding approval by the competent authority (written funding decision or notice).

However, the Success Fee shall only become payable once the client has actually received the first disbursement (first funding tranche) of the approved funding. No advance payment of the Success Fee is required.

The Success Fee shall be payable within 14 days from receipt of the first funding disbursement.

Any Success Fee is additional to any base or fixed fee, unless expressly agreed otherwise in writing.

The obligation to pay the Success Fee shall remain in effect even if the client decides not to proceed with, only partially implement, or discontinue the funded project after receipt of the first disbursement.

7. Intellectual Property Rights

All concepts, documents, materials and work results created by the Contractor remain the intellectual property of the Contractor.

Unless otherwise agreed, the client is granted a non-exclusive, non-transferable right of use solely for the agreed contractual purpose.

Any disclosure, publication, modification or commercial use by third parties requires prior written consent of the Contractor.

8. Confidentiality

All information disclosed in the course of the cooperation shall be treated as confidential. A separate non-disclosure agreement (NDA) shall apply if concluded.

9. Data Protection

Personal data shall be processed in accordance with applicable data protection laws and the Contractor’s Privacy Policy.

10. Term and Termination

Contracts shall terminate upon completion of the agreed services unless expressly agreed otherwise.

Termination for good cause remains reserved. Services rendered up to the date of termination shall be paid in full.

11. Final Provisions

• Austrian law shall apply, excluding its conflict-of-law rules.
• Place of jurisdiction shall be the court having subject-matter jurisdiction at the registered seat of Visionary Proposals S.R. e.U., insofar as legally permissible.
• Should any provision of these Terms & Conditions be or become invalid, the remaining provisions shall remain unaffected.
